PLEASE READ THESE TERMS AND CONDITIONS (“Terms”) CAREFULLY. THIS IS A LEGAL AGREEMENT BETWEEN YOU (THE INDIVIDUAL OR THE ENTITY USING ANY SITE SERVICE, TEMPLATE OR SERVICE) AND VOICEBROOK.

By accessing and using this and other websites and mobile applications of Voicebrook and its subsidiaries and affiliates (collectively referred to as Voicebrook, us, our, or we), including without limitation, www.voicebrook.com and other websites and mobile applications linking to these Terms (individually, a Site, and collectively, the Sites), you agree to be bound by these Terms. These Terms are between you (sometimes referred to as you or your) and Voicebrook.  Remember that your use of the Sites is at all times subject to the Voicebrook Privacy Policy which incorporates these Terms by this reference. 

If you are asked to click your agreement to specific terms and conditions to access certain functions on any of the Sites (each a Site Agreement), the terms in the Site Agreement shall govern over any inconsistencies with these Terms, but only for the specific Site function described in that Site Agreement. Each affiliate of Voicebrook is controlled and operated by a separate and distinct legal entity. You acknowledge and agree that, by accessing a Site, the Site Agreement (if any) and these Terms create an agreement only between you and the individual affiliate, and you will not hold Voicebrook responsible for the actions of any affiliate. 

We may revise and update these Terms from time to time without prior notice to you and will post the updated Terms to the Sites. 

ANY CHANGES TO THESE TERMS WILL APPLY IMMEDIATELY UPON POSTING TO THE SITES.  BY USING OR OTHERWISE ACCESSING THE SITES, POSTING OR DOWNLOADING CONTENT OR ANY OTHER INFORMATION TO OR FROM THE SITES, YOU HEREBY AGREE TO, AND SHALL BE SUBJECT TO, THESE TERMS AND ANY CHANGES TO THEM.  IT IS YOUR OBLIGATION TO PERIODICALLY REVIEW THESE TERMS FOR SUCH CHANGES. 

No Medical Advice

You agree that any information from the Site does not constitute the practice of any medical, nursing or other professional health care advice, diagnosis or treatment. 

Content and Template Accuracy

Although Voicebrook attempts to ensure the accurateness of the its Site content, various templates made available from time to time, including those related to COVID-19 (discussed more below), and other services. As such, Voicebrook makes no guarantees whatsoever as to its correctness or accuracy. It is possible that the Voicebrook content could include inaccuracies or errors, and that unauthorized additions, deletions and alterations could be made to the made by third parties outside of Voicebrook’s control. In the event that an inaccuracy arises, please inform Voicebrook so that it can be addressed. Information contained on the site may be changed or updated without notice.

Please note that Voicebrook offers COVID-19 templates for no charge to certain qualified medical-professionals and others. The templates are based on information currently available and based on governmental sources.  Voicebrook cannot and does not represent and makes no guarantees that any information it is receiving to base these specialized templates are accurate and correct.  If you use these template, please be aware that Voicebrook is not liable for any such use and any use is at your own risk.   

Disclaimer of Warranties

DISCLAIMER OF WARRANTIES. YOU ACKNOWLEDGE AND AGREE THAT VOICEBROOK AND ITS AFFILIATES PROVIDE THE SOFTWARE, TEMPLATES AND OTHER SERVICES "AS IS," WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. CONSEQUENTLY, YOU AGREE TO TAKE ALL PRECAUTIONS AND SAFEGUARDS NECESSARY TO PROTECT YOUR DATA AND SYSTEMS FROM LOSS OR DAMAGE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOICEBROOK AND AFFILIATES SPECIFICALLY DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOICEBROOK, ITS OFFICERS, DIRECTORS, EMPLOYEES, ITS LICENCORS, OR ITS SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR COST OF COVER, ARISING FROM THE USE OF THE SOFTWARE OR THE SERVICE, HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OR WHERE IT SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE.

Disputes; Venue and Choice of Law

THIS SECTION AFFECTS YOUR RIGHTS, PLEASE READ CAREFULLY BEFORE AGREEING TO THESE TERMS BY USING OUR SITES. These Terms are entered into in the State of New York, U.S.A., and are governed by the laws of the State of New York, U.S.A., exclusive of its choice of law rules. Prior to bringing in action in as contemplated above, and if no prejudice would occur by such delay in filing a claim, if a dispute arises out of or relating to any aspect of this Agreement between Voicebrook and you, or the breach thereof, and if the dispute cannot be settled through negotiation, Voicebrook and you agree to mediate in good faith, before resorting to litigation, or any other dispute resolution procedure, before a single neutral mediator through Judicial Arbitration and Mediation Services, Inc. (“JAMS”) located in the New York. If Mediation is unsuccessful in resolving any disputes hereunder, any action brought by Client arising out of or relating to this Agreement shall be brought in a court of competent jurisdiction located in the Allegheny County, State of New.  In any action to enforce these Terms, the prevailing party will be entitled to costs and attorneys’ fees. In the event that any of the Terms are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Indemnification

You agree to indemnify and hold harmless Voicebrook and their respective directors, officers, employees from and against any and all claims, liabilities, damages, and losses, including court costs and reasonable attorney fees, concerning your your use of the Site, including but not limited to COVID-19 templates and any violation of this Agreement.

Intellectual Property

All software and tools owned or developed by Voicebrook that is not part of the public domain, shall be and shall remain the exclusive property of Voicebrook and you shall acquire no rights or interests in the Site, Service or templates (i.e., COVID-19 templates) offered from time to time, except as described herein. 

Users From Outside The United States

The Sites are governed by United States law. If you are using the Sites from outside the United States, please be aware that your information may be transferred to, stored and processed in the United States or other countries, depending on the location of the servers of Voicebrook or our suppliers. The laws of the United States and other countries might not be as comprehensive as those in your country. By using the Sites, you consent to your information being transferred to our facilities and to the facilities of those third parties with whom we share it as described in our Privacy Policy.

USE OF OUR SITES AND ANY RELATED SERVICES ARE SUBJECT TO YOUR COMPLIANCE WITH THE TERMS SET FORTH ABOVE. PLEASE READ THIS INFORMATION CAREFULLY. YOUR CONTINUED USE OF OUR SITES INDICATES YOUR AGREEMENT TO BE BOUND BY THE TERMS SET FORTH ABOVE. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, PROMPTLY EXIT THE SITE.

Voicebrook reserves the right to modify these Terms at any time and without notice.  That said, we will provide notice herein, and directly to you if possible, if there are any changes Voicebrook. 

You agree to indemnify and hold harmless Voicebrook and their respective directors, officers, employees from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Site, including but not limited to your violation of this Agreement.
